Challenges

Katie had £10k of her own capital. Getting the business properly off the ground needed closer to £90k. The gap was significant — and the obvious worry was that bridging it would mean giving up control before she'd done anything.
She'd heard stories of founders ending up as minority shareholders in their own businesses. That wasn't something she was willing to accept.

Our Solution

Rather than penalise Katie for the capital imbalance, Andy and Wayne structured the deal at 50/50 — despite putting in the vast majority of the money. The logic was simple: Katie's experience and market knowledge had value too.
The agreement also included a clearly documented path for Katie to reach 60% ownership once agreed milestones were hit. Everything in writing, before she committed to a thing.
